The Company was initially incorporated as Multi-Tech Energy Limited under the provisions of the Companies Act, 1956. And the certificate of incorporation was also issued on October 27, 1995, by the Registrar of Companies Gwalior, in Madhya Pradesh. Also, the certificate of commencement of business was issued as on June 26, 1998. Soon, the company name was being changed to the D.B. Corp Limited according to shareholder's resolution as on November 28, 2005. Then, a fresh certificate of incorporation consequent to the name change was again issued as on December 1, 2005, by the RoC. And on December 22, 2006, the High Court of Gujarat gave approval to the scheme of arrangement following the publication business and the windfarm business of Writers as well as Publishers Limited was being transferred to the Company. It is also one of the leading print media companies in India that publish seven newspapers, and 48 newspaper editions and 128 sub-editions in three different languages (such as Hindi, Gujarati, and English) in about 11 states in India. Its flagship newspapers, Divya Bhaskar, Dainik Bhaskar, and Saurashtra Samachar, have been a combined average daily readership of about 15.5 million readers. It makes it one of the most widely read newspaper groups in India. Also, Dainik Bhaskar, with a total average daily readership of about 11.7 million readers, is a widely read newspaper in Rajasthan, Madhya Pradesh, Chattisgarh, Haryana, Punjab, and Chandigarh. And Divya Bhaskar is also the number one Gujarati daily newspaper in terms of circulation in Gujarat. Its other newspapers are DB Star, Business Bhaskar, DB Gold, and on a franchisee basis, DNA (in Gujarat and Rajasthan). It is one of the fastest-growing major newspaper groups in India with growth in readership of more than 5.0% from the year 2003 to 2009 (it is with a combined readership of 15.5 million readers). Besides newspapers, it also publishes five periodicals, such as, Aha Zindagi, which is a monthly magazine published in Hindi and Gujarati, Bal Bhaskar, which is a Hindi magazine for children, Young Bhaskar, which is a children magazine in English and Lakshya, which is a career magazine in Hindi. The ownership of newspaper Dainik Bhaskar is with the persons other than the promoter group. The company, via its subsidiary, Synergy Media Entertainment (or SMEL), has a vital presence in the radio business under the brand, MY FM. Via SMEL, it operates about 17 FM radio stations, and via its subsidiary, I Media Corp Limited (or 'IMCL'), it also operates the internet portals and short messaging service (or SMS) portals. It has also been one of the largest newspaper production as well as the distribution platforms in India. It also produces its print products at 31 different facilities spread in about 31 cities, with a total installed capacity of about 1.94 million copies per hour. It also distributes its newspapers via a multi-tiered distribution and marketing network consisting of city distribution centers, sub-agents, agents, vendors, and the sub-vendors. The company sells advertising space in its publications via the advertising agencies as well as directly to the underlying clients. It is one of the largest & vital pools of advertisers in India and in September 2009, it had relationships with about 1,552 accredited agencies and 2,745 non–accredited agencies and served about 308,134 advertisers in that specific fiscal year. Also, it strives to maintain strong journalistic integrity and the high editorial standards via the editorial and reporting staff that consist of about 1355 persons as of September 30, 2009, along with a sizeable team of freelance journalists. In May 2010, it also approved the proposal to demerge the radio business from its subsidiary name, Synergy Media Entertainment into itself.
